Cakechella Vendor Terms and Conditions

This Vendor Agreement ("Agreement") is made and entered into by and between Cakechella LLC ("Organizer") and the undersigned vendor ("Vendor") for participation in the Cakechella festival ("Event"). By submitting payment for a vendor space, the Vendor agrees to comply with and be bound by the following terms and conditions.

1. Agreement & Participation
Participation in the Event is contingent upon the Vendor's acceptance of this Agreement. The Organizer reserves the right to refuse any application or to remove any Vendor from the Event who is not in compliance with these terms, without refund or recourse.

2. Vendor Fee & Payment
The fee for a vendor space ("Vendor Fee") must be paid in full by the date specified in the Vendor's invoice.

Non-Refundable Policy: The Vendor Fee is strictly non-refundable upon payment. The Organizer incurs significant administrative, marketing, and operational costs prior to the Event, and the Vendor Fee is immediately applied to these expenses. No refunds will be issued for any reason, including but not limited to Vendor cancellation, no-show, or removal from the Event due to non-compliance.

3. Mandatory Insurance Requirement
The Vendor is required to obtain and maintain a General Liability Insurance policy for the duration of the Event.

Coverage Minimum: The policy must have a minimum coverage limit of $1,000,000 per occurrence.

Failure to Provide: Failure to obtain the required insurance will result in the forfeiture of the Vendor's space and any fees paid.

4. Mandatory Product Tastings
As a core component of the Cakechella experience, all participating dessert Vendors are required to provide product tastings to Event attendees.

Minimum Quantity: The Vendor must provide a minimum of one hundred (100) individual tastings for the duration of the Event.

Minimum Value: Each individual tasting must have an estimated retail value of at least $2.00.

Purpose: These tastings are intended to allow attendees to experience the Vendor's products, drive traffic to the Vendor's booth, and enhance the overall value of the Event for all participants. The cost of these tastings is the sole responsibility of the Vendor.

Non-Food or Non-Applicable Categories: Cakechella LLC, at its sole discretion may accept certain vendors for which the tasting requirement does not apply. Any waiver from this requirement is only valid if the vendor is in a non-dessert category or when received from a Cakechella staff member, in writing.

5. Booth Space & Operations

Assignment: The Organizer has the sole discretion to assign and, if necessary, reassign vendor space.

Setup/Teardown: The Vendor must adhere to the designated setup and teardown schedules provided by the Organizer. Booths must be fully set up at least thirty (30) minutes before the Event opens to the public and must remain operational until the official closing of the Event.

Cleanliness: The Vendor is responsible for keeping their designated space clean and orderly and must remove all trash from their space at the end of the Event.

6. Health, Safety & Licensing
The Vendor is solely responsible for complying with all applicable local, state, and federal health and safety regulations. If applicable, the Vendor must have all necessary licenses and permits to operate and sell their products. All such permits must be present at the Vendor's booth during the Event.
7. Indemnification and Limitation of Liability
The Vendor agrees to indemnify, defend, and hold harmless Cakechella LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or in any way connected with the Vendor's participation in the Event, including but not limited to any injury, death, or property damage caused by the Vendor's products, actions, or negligence.
8. Media Release
The Vendor grants Cakechella LLC the unrestricted right to use, publish, and display the Vendor's name, likeness, logo, products, and images or videos of their booth for advertising, promotional, and other commercial purposes related to the Event without compensation or approval.
9. Event Cancellation (Force Majeure)
If the Event is canceled or postponed due to circumstances beyond the Organizer's control (including but not limited to acts of God, severe weather, government mandate, or public health crisis), the Organizer will not be liable for any damages or losses incurred by the Vendor. In such a case, Vendor Fees will remain non-refundable to cover pre-incurred Event costs.
10. Entire Agreement
This document constitutes the entire agreement between the Organizer and the Vendor and supersedes all prior discussions, negotiations, and agreements.
Cakechella Attendee Terms and Conditions

By purchasing a ticket to Cakechella, you agree to the following terms and conditions:

1. Tickets and Admission

All ticket sales are final. Tickets are non-refundable.

Each ticket grants admission to one person for the duration of the event on Sunday, November 9, 2025, from 1:00 PM to 5:00 PM at Bluemont Station Brewery & Winery, Bluemont, VA.

Tickets must be presented at the entrance for admission.
-
The event is open to all ages. Children must be accompanied by an adult at all times.

2. General Conduct
-
All attendees are expected to conduct themselves in a professional and respectful manner.
-
Any attendee engaging in disruptive, unsafe, or illegal behavior may be asked to leave the premises without a refund.

No outside food or beverages are permitted at the event.

3. Photography and Videography
-
By attending Cakechella, you consent to be photographed, filmed, and/or otherwise recorded. Your entry constitutes your consent to such photography, filming, and/or recording and to any use, in any and all media throughout the universe in perpetuity, of your appearance, voice, and name for any purpose whatsoever in connection with the event presently entitled: Cakechella.

4. Food and Beverage Consumption

Cakechella is a dessert-tasting festival. Tastings and samples are provided by various exhibitors.

Attendees are responsible for their own food choices and for making exhibitors aware of any food allergies.

While exhibitors are encouraged to list ingredients, Cakechella LLC cannot guarantee that any food or beverage is free from allergens.

5. Hold Harmless and Limitation of Liability

By purchasing a ticket and attending Cakechella, you agree to release, indemnify, and hold harmless Cakechella LLC, its officers, employees, volunteers, contractors, and all other parties associated with the event, including but not limited to Bluemont Station Brewery & Winery and all exhibitors, from any and all claims, liabilities, losses, damages, costs, or expenses, including attorneys' fees, arising out of or in any way connected with your attendance at the event. This includes, but is not limited to, any claims for personal injury, property damage, or illness, including any food-borne illnesses.

6. Miscellaneous

Cakechella LLC reserves the right to make changes to the event program without prior notice.

These terms and conditions are subject to change at any time. The most current version will be available on the event website.

By purchasing a ticket, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.

Cakechella Sponsor Terms and Conditions

This document outlines the agreement between the sponsoring entity ("Sponsor") and Cakechella LLC ("Event Organizer") for the Cakechella event ("Event") scheduled to be held on Sunday, November 9, 2025.
1. Agreement
-
By remitting payment for a sponsorship package, the Sponsor acknowledges and agrees to be bound by the terms and conditions set forth herein. This document and the corresponding sponsorship invoice constitute the entire agreement between the Sponsor and the Event Organizer.

2. Payment and Cancellation
-
All sponsorship fees are due in full upon receipt of the invoice unless otherwise specified in writing.

All sponsorship payments are final and non-refundable.
-
Should the Sponsor choose to cancel their participation for any reason, the Sponsor will not be entitled to a refund of any sponsorship fees paid.

3. No Guarantee of Results
-
The Event Organizer will make every effort to produce a successful event and provide the benefits listed in the Sponsor's selected package.
-
However, the Event Organizer makes no representations, warranties, or guarantees as to the results of the sponsorship.
-
The Event Organizer cannot and does not guarantee specific attendance numbers, demographic compositions, media coverage, or any level of commercial activity or return on investment for the Sponsor.

4. Sponsor Benefits & Obligations

The Event Organizer will provide the Sponsor with the benefits and recognition outlined in their selected sponsorship package.

The Sponsor agrees to provide the Event Organizer with all necessary logos, advertisements, and other required materials in the specified format by the deadline provided. Failure to do so may result in the forfeiture of certain sponsorship benefits without refund.

5. Use of Intellectual Property
-
The Sponsor grants Cakechella LLC a limited, non-exclusive license to use the Sponsor's name, logo, and trademarks ("Sponsor Marks") in connection with the promotion and execution of the Event.

Cakechella LLC grants the Sponsor a limited, non-exclusive license to use the "Cakechella" name and logo ("Event Marks") for the sole purpose of promoting its sponsorship of the Event.

6. Event Postponement or Cancellation
-
In the unlikely event that Cakechella is postponed or rescheduled, all sponsorships will be transferred to the new date.

If the Event is canceled entirely by the Event Organizer, the Event Organizer may, at its sole discretion, offer a credit for a future event or a partial/full refund to the Sponsor.

7. Limitation of Liability

The Sponsor agrees to indemnify and hold harmless Cakechella LLC, its officers, employees, volunteers, and agents from and against any and all claims, losses, damages, liabilities, or expenses arising from the Sponsor's participation in the Event, including but not limited to the actions of its staff or the distribution of its products or promotional materials.

In no event shall Cakechella LLC be liable for any lost profits or any indirect, special, incidental, or consequential damages whatsoever, even if advised of the possibility of such damages. The total liability of Cakechella LLC under this agreement shall not exceed the total sponsorship fee paid by the Sponsor.
